USER'S AGREEMENT AND RULES OF CONDUCT FOR CASTING QUARTERS SITE:
Use and participation in Casting Quarters's Internet site is conditional to the acceptance of the following terms and rules. By using this web site, you accept these terms. For purposes of this agreement, "Participant" refers to you. "Casting Quarters" and or "CQ" refers to Casting Quarters, Inc. and www.castingquarters.com.
1. RULES OF CONDUCT:
(a) Participant shall not post or transmit through CQ any defamatory, threatening, obscene, harmful, pornographic or other material which would violate or infringe in any way upon the rights of others, or which would give rise to criminal or civil liability and/or violate federal or local law or regulation.
(b) Participant shall not upload, post or otherwise make available on the CQ website any material protected by copyright, trademark or other proprietary right without the express permission of the owner of such copyright, trademark or other proprietary right.
2. PARTIES TO AGREEMENT:
It is understood and agreed that Participants are entering into this Agreement on their own behalf for inclusion in the Casting Quarters database.
3. SERVICES:
CQ will furnish the following services ("Services") to Participants.
Inputting or hosting participants content into the Casting Quarters system.
4. PARTICIPANT RESPONSIBILITIES:
(a) review and proof the Participant information that has been input into CQ, and either correct the information directly or advise CQ of any errors and deficiencies, on a timely basis; and
properly utilize Casting Quarters solely for the benefit of Participant in accordance with CQs instructions.
5. CHARGES:
Participants shall pay charges (if applicable) as posted on CQ website.
6. LIMITATION OF LIABILITY:
CQ shall reasonably assist in dealing with, but shall not be liable for any loss or damage arising from the acts of Participants or third parties, including the following:
(a) errors in the content, information or media concerning Participant;
(b) the late arrival or non-arrival of information from Participant;
(c) Participants failure to detect and notify CQ of errors in the input of Participants content which Participant has undertaken to review; or
(d) failure of the computer system or telecommunication facilities used by Participant.
7. PROPRIETARY RIGHTS:
This Agreement does not transfer any ownership of, or grant any license for, any CQ software, technology or intellectual property rights or assets, to AGENT or to Participant.
8. WARRANTY:
CQ warrants that the Services shall be provided using its best efforts, but uninterrupted or fault-free Service is not warranted or represented. CQ shall not be liable for the content in the Participants profile in the CQ database. This warranty is exclusive and is in lieu of all other warranties and conditions unless such exclusion is prohibited by law, and the total liability of CQ in connection with this Agreement is limited to the total of any and all charges paid by Participant over the 12 months preceding the month in which damage is alleged to have occurred.
9. ASSIGNMENT:
This Agreement is not assignable by Participant, and any attempted assignment, whether of any rights, benefits or obligations under this Agreement shall be null and void.
10. CONFIDENTIALITY:
CQ security password and all information accessed by Participant from the CQ site which is marked as confidential, will be kept confidential by Participant. All Participants content will be disclosed and used by CQ solely in connection with CQ.
11. RIGHTS OF CASTING QUARTERS / DISCLAIMER OF LIABILITY:
CQ is not responsible for the content or practices of third party Web sites that may be linked to a CQ site. This site may also be linked to Web sites operated by companies affiliated with CQ. Visitors to those sites should refer to each site's separate privacy policies and practices.
12. PARTICIPANT INDEMNIFICATION / OBLIGATIONS:
Participant agrees to defend, indemnify and hold harmless CQ, its parent, subsidiary and affiliated companies and their respective directors, officers, employees and agents from and against all claims, losses, costs and expenses (including attorneys fees) arising out of Participants use of CQ sites, or arising out of any violation of these Rules of Conduct by Participant including, without limitation, any communication by Participant which is claimed to be defamatory, obscene or otherwise unlawful, which is claimed to violate the copyright, trademark, proprietary or other rights of third parties, or which constitutes a submission of materials.
13. TERMINATION:
CQ shall have the right to immediately terminate any Participants use of the CQ site if CQ determines in its sole discretion that Participant has violated the Rules of Conduct set forth herein or otherwise breached this agreement, or has engaged in conduct which CQ determines in its sole discretion to be unacceptable.
14. NO REFUND POLICY:
You may subscribe to Casting Quarters for a two year subscription fee. The subscription fee is non-refundable.
